This Terms and Conditions of Use is made by and between ISNation, LLC, a Florida Limited Liability Company, with offices at 7901 4th St N, #22571 St. Petersburg, FL 33702 and you the user (you, your or User). • Agreement; Changes to These Terms. This Website Terms and Conditions of Use Agreement (“Agreement”) specifies the Terms and Conditions for access to and use of https://app.isnation.com/ and https://www.isnation.com (collectively, the “Sites”) and describes the terms and conditions applicable to your access to and use of the Sites and any ISNation, LLC services, features, content, or functionality made available through the Sites or related services.
  
  ISNation, LLC (“ISNation,” “Company,” “we,” “us,” or “our”) may revise or update this Agreement from time to time. When we make material changes, we will provide notice by posting the updated Agreement on the Sites, updating the revision date, and/or providing additional notice where required by applicable law, such as by email or in-service notice to registered users. Unless otherwise stated in the updated Agreement or required by applicable law, changes will become effective when posted.
  
  Your continued access to or use of the Sites or Service after the updated Agreement becomes effective constitutes your acceptance of the updated Agreement. If you do not agree to the updated Agreement, you must stop using the Sites and Service. The most current version of this Agreement, which supersedes all previous versions, can be reviewed at https://www.isnation.com/terms-and-conditions .

• Privacy. In addition, when using our Sites, you shall be subject to any posted policies, guidelines or rules applicable to use of the Sites and any service provided by the Sites, including, but not limited to, our Website Privacy Notice at https://www.isnation.com/privacy-policy . All such policies, guidelines and rules are hereby incorporated by reference into these Terms and Conditions of Use.

• Ownership. You acknowledge and agree that the services provided by these websites (“Service”) and any necessary software used in connection with any Service (“Software”) contain proprietary and confidential information that is the property of ISNation, LLC and its licensors and is protected by applicable intellectual property and other laws. No rights or title of to any of the Software used in connection with any Service is provided, transferred or assigned to you. You further acknowledge and agree that content contained in advertisements or information presented to you through any Service or advertisers is protected by copyright, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorized by ISNation, LLC or advertisers, you agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Service or Software, in whole or in part

• Intended Audience; Eligibility. These Sites and the Service are intended for users who are at least thirteen (13) years of age. YOU MUST BE AT LEAST THIRTEEN (13) YEARS OF AGE TO ACCESS OR USE THE SITES OR SERVICE. IF YOU ARE UNDER THIRTEEN (13) YEARS OF AGE, DO NOT ACCESS OR USE THE SITES OR SERVICE FOR ANY PURPOSE AND DO NOT PROVIDE ANY PERSONAL INFORMATION TO ISNATION. If you are under the age of majority in your state, province, or country of residence, you may use the Sites and Service only with the consent and supervision of your parent or legal guardian. By allowing a minor to use the Sites or Service, the parent or legal guardian agrees to these Terms on behalf of the minor and is responsible for the minor’s use of the Sites and Service. 

• Trademarks. You acknowledge ISNation, LLC’s exclusive rights in the ISNation trademark and service mark. Trademarks, service marks, logos, and copyrighted works appearing in these websites are the property of ISNation, LLC or the party that provided such intellectual property to ISNation, LLC. ISNation, LLC and any party that provides intellectual property to ISNation, LLC retain all rights with respect to any of their respective intellectual property appearing in these websites, and no rights in such materials are transferred or assigned to you.

• Personal and Non-Commercial Use of Websites. https://app.isnation.com/ and https://www.isnation.com are for your personal and non-commercial use, unless otherwise specified. You may not use any service provided by these Sites for any other purpose, including any commercial purpose, without the prior express written permission of an authorized representative of ISNation, LLC. You may not modify, copy, distribute, display, send, perform, reproduce, publish, license, create derivative works from, transfer, sell or otherwise infringe on any intellectual property rights related to any information, content, software, products or services obtained from or otherwise connected to these websites. Your use of these websites is at the discretion of ISNation, LLC and ISNation, LLC may terminate your use of these websites at any time.

To access these Websites or some of the resources they offer, you may be asked to provide certain registration details or other information. It is a condition of your use of these Websites that all the information you provide on these Websites is correct, current and complete. You agree that all information you provide to register with these Websites or otherwise, including but not limited to through the use of any interactive features on these Websites, is governed by our Privacy Notice, and you consent to all actions we take with respect to your information consistent with our Privacy Notice.

If you choose, or are provided with, a user name, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any other person or entity. You also acknowledge that your account is personal to you and agree not to provide any other person with access to these Websites or portions of it using your user name, password or other security information. You agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. You also agree to ensure that you exit from your account at the end of each session. You should use particular caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information.

We have the right to disable any user name, password or other identifier, whether chosen by you or provided by us, at any time in our sole discretion for any or no reason, including if, in our opinion, you have violated any provision of these Terms and Conditions of Use.

• User-Generated Content. The Sites or Service may allow you or other users to submit, upload, post, display, transmit, provide, or otherwise make available content, information, materials, names, usernames, profile information, profile images, photographs, videos, audio, messages, comments, feedback, or other materials through or in connection with the Sites or Service (“User Content”).
  
  You retain ownership of any rights you may have in your User Content. By submitting, uploading, posting, displaying, transmitting, providing, or otherwise making available User Content, you grant ISNation, LLC and its affiliates, service providers, contractors, licensees, successors, and assigns a worldwide, non-exclusive, royalty-free license, with the right to sublicense and transfer that license, to host, store, reproduce, copy, modify, adapt, publish, translate, create derivative works from, display, perform, distribute, transmit, use, and otherwise process your User Content in connection with operating, providing, maintaining, improving, promoting, and protecting the Sites, the Service, and ISNation’s business.
  
  You represent and warrant that: (a) you own or control all rights in and to your User Content or otherwise have the right to grant the license described above; (b) your User Content does not and will not violate these Terms, any applicable law, or the rights of any third party, including intellectual property, privacy, publicity, or contractual rights; and (c) your User Content is accurate and not misleading.
  
  You are solely responsible for your User Content and for the consequences of submitting, uploading, posting, displaying, transmitting, providing, or otherwise making it available. ISNation does not endorse, verify, or guarantee the accuracy, completeness, reliability, or usefulness of any User Content.
  
  You agree not to submit, upload, post, display, transmit, provide, or otherwise make available any User Content that: (a) is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, vulgar, hateful, discriminatory, or otherwise objectionable; (b) promotes self-harm, violence, illegal activity, exploitation, or abuse; (c) infringes, misappropriates, or violates any intellectual property, privacy, publicity, or other rights of any person or entity; (d) contains private or sensitive information about another person without authorization; (e) impersonates any person or misrepresents your identity or affiliation; (f) contains viruses, malware, or other harmful code; or (g) violates any posted community standards, policies, guidelines, or rules applicable to the Sites or Service.
  
  ISNation may, but has no obligation to, monitor, review, remove, disable access to, or refuse to display any User Content at any time and for any reason, including if ISNation believes that the User Content violates these Terms, may create risk or liability, may harm users or third parties, or may affect the operation, integrity, reputation, or security of the Sites or Service. If you submit feedback, suggestions, ideas, comments, or recommendations regarding the Sites, Service, or ISNation, you agree that ISNation may use such feedback without restriction or compensation to you.

• ISNation Teams. Teams Service. ISNation Teams (“Teams”) provides team-based features that may allow coaches, team administrators, athletes, parents or legal guardians, and other authorized participants to communicate, manage team participation, complete or review check-ins, monitor goals or progress, and use other features made available by ISNation. Available features may vary by subscription, account type, user role, device, location, or organization. Account Roles and Permissions. Access to information and features within Teams depends on the user’s assigned role, team membership, and applicable permissions. Coaches and team administrators may be able to invite or remove participants, assign roles, manage team settings, and access information made available to their role. Users must not access, use, or disclose information beyond the permissions provided to them or for purposes unrelated to legitimate team activities. Administrator Authority and Responsibilities. A coach, team administrator, school, club, business, or other organization that creates or manages a team represents and warrants that it has the authority to establish and administer the team, invite participants, assign account roles, and provide ISNation with any information submitted on behalf of those participants. Team administrators are responsible for maintaining accurate rosters and permissions, promptly removing access when it is no longer authorized, providing any notices required by law, and obtaining all permissions and consents necessary for their use of Teams. Minors. If a coach, team administrator, school, club, or organization invites, registers, or submits information concerning a minor, it represents and warrants that it is authorized to do so and has obtained any consent required from the minor’s parent or legal guardian. No person may knowingly create an account for, invite, or submit personal information concerning a child under 13 without verifiable parental or legal-guardian involvement and any consent required by applicable law. ISNation may request evidence of authority or consent and may suspend or remove an account if adequate evidence is not provided. Team Information and Visibility. Information submitted through Teams, including attendance, check-ins, responses, goals, progress, activity, messages, and other content, may be visible to the submitting athlete and to authorized coaches, team administrators, parents or legal guardians, or other approved participants, depending on the feature, account role, and settings. Users and team administrators must use such information only for authorized and legitimate team purposes and must not improperly publish, sell, exploit, or disclose another person’s information. User Content. Users retain any ownership rights they may have in content they submit through Teams. By submitting content, the user grants ISNation the limited rights necessary to host, store, process, reproduce, display, transmit, and otherwise use that content to operate, secure, support, and improve Teams and the ISNation services, consistent with these Terms and the ISNation Privacy Notice. Users must have all rights and permissions necessary to submit content and must not submit unlawful, infringing, abusive, misleading, or unauthorized content. Check-Ins and Historical Records. Teams may maintain check-in history and other historical information so authorized users can review prior activity, participation, goals, and progress. The availability and visibility of historical information depend on account status, role, permissions, product functionality, and the ISNation Privacy Notice. No Medical or Emergency Services. Teams, including check-ins, reflections, wellness information, mindset content, assessments, recommendations, and progress features, is provided for informational, educational, and general wellness purposes only. Teams does not provide medical care, mental-health treatment, diagnosis, emergency monitoring, or professional medical advice and is not a substitute for a qualified healthcare professional. ISNation does not guarantee that a coach, administrator, parent, guardian, or other person will review or respond to information submitted through Teams. Users should contact an appropriate healthcare professional or emergency service when medical, mental-health, safety, or emergency assistance is needed. Acceptable Use. Users may not use Teams to harass, discriminate against, exploit, threaten, or harm another person; unlawfully monitor participants; collect or disclose information without authorization; circumvent permissions or security controls; impersonate another person; or use athlete information for unauthorized advertising, recruiting, employment, eligibility, disciplinary, or other decisions. ISNation may investigate suspected misuse and may restrict, suspend, or terminate access where reasonably necessary to protect users, ISNation, or the integrity of the service. Subscriptions and Changes to Teams. Certain Teams features may require a paid subscription and may be subject to additional ordering terms, pricing, participant limits, or service descriptions presented at purchase. ISNation may modify, add, or discontinue Teams features in accordance with these Terms. Fees already incurred remain subject to the applicable subscription and refund terms. Cancellation, Export, and Loss of Access. When a Teams subscription is cancelled or expires, access to some or all Teams features and information may end. For 90 days following cancellation, an authorized coach or account administrator may request an export of applicable athlete and team data. After that period, ISNation may no longer make the data available, and the data will be deleted or de-identified as described in the ISNation Privacy Notice, subject to retention permitted or required by law. Each team administrator is responsible for requesting and securely maintaining any export the organization is legally or operationally required to keep. Privacy. ISNation’s collection, use, sharing, visibility, retention, and deletion of personal information through Teams is governed by the ISNation Privacy Notice. If these Terms conflict with the Privacy Notice regarding the handling of personal information, the Privacy Notice will control for that issue.

• Compliance with Laws. You must abide by all Federal, State and local laws. If you are outside the United States you must comply with all local laws with respect to your online conduct, as well as the export of data to the United States or to your country or residence

• Indemnification. You agree to indemnify and hold ISNation, LLC, its subsidiaries, affiliates, licensors, content providers, service providers, employees, agents, officers, directors, and contractors (the “Indemnified Parties”) harmless from any breach of this Agreement by you. You agree that the Indemnified Parties will have no liability in connection with any such breach or unauthorized use, and you agree to indemnify any and all resulting loss, damages, judgments, awards, costs, expenses, and attorneys’ fees of the Indemnified Parties in connection therewith. You will also indemnify and hold the Indemnified Parties harmless from and against any claims brought by third parties arising out of your use of any content or information or service accessed from these Sites.

• Medical, Mental Health, and Crisis Disclaimer. The Sites, the Service, and all content, information, materials, features, and functionality made available through the Sites or Service are provided for general informational, community, educational, and inspirational purposes only. The Sites and Service are not medical, mental health, psychiatric, psychological, therapeutic, counseling, crisis-response, emergency-response, or clinical services.
  
  ISNation, LLC is not a licensed medical provider, mental health provider, therapist, counselor, crisis-response provider, or clinical service provider. No doctor-patient, therapist-client, counselor-client, fiduciary, or other professional healthcare relationship is created by your access to or use of the Sites, Service, or any content.
  The Sites, Service, and content are not a substitute for professional medical advice, diagnosis, treatment, therapy, counseling, emergency care, or crisis support. • Limitation of Liability. UNDER NO CIRCUMSTANCES WILL ISNATION, LLC BE LIABLE OR RESPONSIBLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL (INCLUDING DAMAGES FROM LOSS OF BUSINESS, LOST PROFITS, LITIGATION, OR THE LIKE), SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN ANY WAY RELATING TO THESE SITES, YOUR USE OF THESE SITES, OR THE CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE REMEDY FOR DISSATISFACTION WITH THESE SITES AND/OR CONTENT IS TO CEASE ALL OF YOUR USE OF THESE SITES.

• Use of Information. ISNation, LLC reserves the right at all times to disclose any information as necessary to satisfy any applicable law, regulation, legal process or governmental request.

• Copyrights and Copyright Agent. If you believe your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have otherwise been violated, please provide a notice containing all of the following information to our Copyright Agent:

1. 1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
   2. A description of the copyrighted work that you claim has been infringed;
   3. A description of where the material that you claim is infringing is located on the Site;
   4. Your address, telephone number, and e-mail address;
   5. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and
   6. A statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

• Governing Law; Dispute Resolution; Arbitration; Class Action Waiver.
  
  (a) Governing Law. These Terms and Conditions of Use and any dispute, claim, or controversy arising out of or relating to the Sites, the Service, these Terms and Conditions of Use, or your relationship with ISNation, LLC will be governed by and construed in accordance with the internal laws of the State of Florida, without giving effect to any choice or conflict of law provision or rule, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions in this section.
  
  (b) Informal Dispute Resolution. Before either you or ISNation initiates arbitration or any court proceeding, the party seeking to bring a claim must first send a written notice of dispute to the other party describing the nature and basis of the claim and the relief sought. Notices to ISNation must be sent to: ISNation, LLC, 7901 4th St N, #22571, St. Petersburg, FL 33702, Attn: Legal Department, with a copy by email to support@weareisnation.com. The parties will attempt in good faith to resolve the dispute informally within thirty (30) days after the notice is received. If the dispute is not resolved within that thirty (30)-day period, either party may proceed as permitted below.
  
  (c) Binding Arbitration. Except for the exceptions stated in subsection (d), and except where prohibited by applicable law, you and ISNation agree that any dispute, claim, or controversy arising out of or relating to the Sites, the Service, these Terms and Conditions of Use, or your relationship with ISNation will be resolved by final and binding arbitration, rather than in court. Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, as modified by these Terms. If AAA is unavailable or unwilling to administer the arbitration, the parties will mutually agree on another arbitration provider, or a court of competent jurisdiction will appoint one.
  
  (d) Exceptions to Arbitration. Either party may bring an individual claim in small claims court if the claim qualifies. Either party may also seek temporary or preliminary injunctive relief in court to protect intellectual property rights, confidential information, or the security or integrity of the Sites, the Service, or ISNation’s systems. Nothing in these Terms prevents you from bringing issues to the attention of federal, state, or local government agencies.
  
  (e) Arbitration Procedures. The arbitration will be conducted by a single neutral arbitrator. The arbitrator will have exclusive authority to resolve disputes regarding arbitrability, enforceability, interpretation, or scope of this arbitration agreement, except that a court will decide any dispute regarding the validity or enforceability of the class action waiver in subsection (g). The arbitrator may award the same individual remedies that a court could award, subject to the limitations in these Terms and applicable law.
  
  (f) Arbitration Location. If an in-person hearing is required, it will take place in Orange County, Florida, unless the arbitration provider’s consumer rules require a different location or the parties agree otherwise. The arbitration may also be conducted by telephone, video conference, or written submissions where permitted by the arbitration provider’s rules.
  
  (g) Class Action and Representative Action Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ISNATION AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. If this class action and representative action waiver is found unenforceable as to a particular claim or request for relief, then that claim or request for relief will be severed and brought only in a court of competent jurisdiction, and any remaining claims must be arbitrated on an individual basis.
  
  (h) Jury Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ISNATION KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THE SITES, THE SERVICE, THESE TERMS AND CONDITIONS OF USE, OR YOUR RELATIONSHIP WITH ISNATION.
  
  (i) Opt-Out Right. You may opt out of the arbitration agreement in this section by sending written notice of your decision to opt out to ISNation, LLC, 7901 4th St N, #22571, St. Petersburg, FL 33702, Attn: Legal Department, or by email to support@weareisnation.com, within thirty (30) days after the date you first accept these Terms. Your opt-out notice must include your name, the email address associated with your account, and a clear statement that you want to opt out of arbitration. If you opt out, the remaining provisions of these Terms will continue to apply.
  (j) Court Venue for Non-Arbitrable Disputes. For any dispute, claim, or proceeding that is not subject to arbitration, you and ISNation agree to the exclusive jurisdiction and venue of the federal courts of the United States or the courts of the State of Florida located in Orlando, Orange County, Florida, except where prohibited by applicable law. You and ISNation waive any objection to jurisdiction or venue in those courts.
  
  (k) Limitation of Time to File Claims. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITES, THE SERVICE, THESE TERMS AND CONDITIONS OF USE, OR YOUR RELATIONSHIP WITH ISNATION MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE OR BE FOREVER BARRED.
  
  (l) Consumer Rights. Nothing in this section limits any non-waivable rights you may have under applicable consumer protection laws.

• Severability. If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.

• Waiver. The failure of ISNation, LLC to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Any waiver of this Agreement by ISNation, LLC must be in writing and signed by an authorized representative of ISNation, LLC.

• Modification and Termination of the Websites. ISNation, LLC reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, these websites or any service provided by these websites (or any part thereof) with or without notice. You agree that ISNation, LLC will not be liable to you or any third party for any modification, suspension or discontinuance of these websites or any service.

• Relationship of the Parties. Nothing contained in this Agreement or your use of these Sites shall be construed to constitute either party as a partner, joint venturer, employee or agent of the other party, nor shall either party hold itself out as such. Neither party has any right or authority to incur, assume or create, in writing or otherwise, any warranty, liability or other obligation of any kind, express or implied, in the name of or on behalf of the other party, it being intended by both parties that each shall remain independent contractors responsible for its own actions.

• Entire Agreement. These Terms and Conditions of Use constitute the entire agreement between you and ISNation, LLC regarding your access to and use of the Sites and Service and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and ISNation, LLC with respect to the Sites and Service. Notwithstanding the foregoing, you may also be subject to additional terms and conditions, posted policies, guidelines, or rules that may apply when you use certain features, products, services, or portions of the Sites or Service, including the Website Privacy Notice. Any such additional terms, policies, guidelines, or rules are incorporated into these Terms by reference. ISNation may revise or update these Terms and Conditions of Use as described in the “Agreement; Changes to These Terms” section above. Your continued access to or use of the Sites or Service after the updated Terms become effective constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Sites and Service.
