Agreement; Changes to These Terms.

Intended Audience; Eligibility.

Compliance with Laws.

Indemnification.

You agree that the Indemnified Parties will have no liability in connection with any such breach or unauthorized use, and you agree to indemnify any and all resulting loss, damages, judgments, awards, costs, expenses, and attorneys’ fees of the Indemnified Parties in connection therewith. Copyrights and Copyright Agent.

If you believe your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have otherwise been violated, please provide a notice containing all of the following information to our Copyright Agent:

1. An electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
2. A description of the copyrighted work that you claim has been infringed;
3. A description of where the material that you claim is infringing is located on the Site;
4. Your address, telephone number, and e-mail address;
5. A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and

Governing Law; Dispute Resolution; Arbitration; Class Action Waiver.

(a) Governing Law. These Terms and Conditions of Use and any dispute, claim, or controversy arising out of or relating to the Sites, the Service, these Terms and Conditions of Use, or your relationship with ISNation, LLC will be governed by and construed in accordance with the internal laws of the State of Florida, without giving effect to any choice or conflict of law provision or rule, except that the Federal Arbitration Act governs the interpretation and enforcement of the arbitration provisions in this section.

(b) Informal Dispute Resolution. Before either you or ISNation initiates arbitration or any court proceeding, the party seeking to bring a claim must first send a written notice of dispute to the other party describing the nature and basis of the claim and the relief sought. Notices to ISNation must be sent to: ISNation, LLC, 7901 4th St N, #22571, St. Petersburg, FL 33702, Attn: Legal Department, with a copy by email to support@weareisnation.com. The parties will attempt in good faith to resolve the dispute informally within thirty (30) days after the notice is received. If the dispute is not resolved within that thirty (30)-day period, either party may proceed as permitted below.

(c) Binding Arbitration. Except for the exceptions stated in subsection (d), and except where prohibited by applicable law, you and ISNation agree that any dispute, claim, or controversy arising out of or relating to the Sites, the Service, these Terms and Conditions of Use, or your relationship with ISNation will be resolved by final and binding arbitration, rather than in court. Arbitration will be administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules, as modified by these Terms. If AAA is unavailable or unwilling to administer the arbitration, the parties will mutually agree on another arbitration provider, or a court of competent jurisdiction will appoint one.

(d) Exceptions to Arbitration. Either party may bring an individual claim in small claims court if the claim qualifies. Either party may also seek temporary or preliminary injunctive relief in court to protect intellectual property rights, confidential information, or the security or integrity of the Sites, the Service, or ISNation’s systems. Nothing in these Terms prevents you from bringing issues to the attention of federal, state, or local government agencies.

(e) Arbitration Procedures. The arbitration will be conducted by a single neutral arbitrator. The arbitrator will have exclusive authority to resolve disputes regarding arbitrability, enforceability, interpretation, or scope of this arbitration agreement, except that a court will decide any dispute regarding the validity or enforceability of the class action waiver in subsection (g). The arbitrator may award the same individual remedies that a court could award, subject to the limitations in these Terms and applicable law.

(f) Arbitration Location. If an in-person hearing is required, it will take place in Orange County, Florida, unless the arbitration provider’s consumer rules require a different location or the parties agree otherwise. The arbitration may also be conducted by telephone, video conference, or written submissions where permitted by the arbitration provider’s rules.

(g) Class Action and Representative Action Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ISNATION AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING. If this class action and representative action waiver is found unenforceable as to a particular claim or request for relief, then that claim or request for relief will be severed and brought only in a court of competent jurisdiction, and any remaining claims must be arbitrated on an individual basis.

(h) Jury Trial Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND ISNATION KNOWINGLY AND VOLUNTARILY WAIVE ANY RIGHT TO A TRIAL BY JURY IN ANY PROCEEDING ARISING OUT OF OR RELATING TO THE SITES, THE SERVICE, THESE TERMS AND CONDITIONS OF USE, OR YOUR RELATIONSHIP WITH ISNATION.

(i) Opt-Out Right. You may opt out of the arbitration agreement in this section by sending written notice of your decision to opt out to ISNation, LLC, 7901 4th St N, #22571, St. Petersburg, FL 33702, Attn: Legal Department, or by email to support@weareisnation.com, within thirty (30) days after the date you first accept these Terms. Your opt-out notice must include your name, the email address associated with your account, and a clear statement that you want to opt out of arbitration. If you opt out, the remaining provisions of these Terms will continue to apply.

(j) Court Venue for Non-Arbitrable Disputes. For any dispute, claim, or proceeding that is not subject to arbitration, you and ISNation agree to the exclusive jurisdiction and venue of the federal courts of the United States or the courts of the State of Florida located in Orlando, Orange County, Florida, except where prohibited by applicable law. You and ISNation waive any objection to jurisdiction or venue in those courts.

(k) Limitation of Time to File Claims. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO THE SITES, THE SERVICE, THESE TERMS AND CONDITIONS OF USE, OR YOUR RELATIONSHIP WITH ISNATION MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE OR BE FOREVER BARRED.

(l) Consumer Rights. Nothing in this section limits any non-waivable rights you may have under applicable consumer protection laws.

Severability.

If any provision of this Agreement shall be adjudged by any court of competent jurisdiction to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that this Agreement will otherwise remain in full force and effect.

Waiver.

The failure of ISNation, LLC to exercise or enforce any right or provision of this Agreement shall not operate as a waiver of such right or provision. Any waiver of this Agreement by ISNation, LLC must be in writing and signed by an authorized representative of ISNation, LLC.

Modification and Termination of the Websites.

ISNation, LLC reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, these websites or any service provided by these websites (or any part thereof) with or without notice. You agree that ISNation, LLC will not be liable to you or any third party for any modification, suspension or discontinuance of these websites or any service.

Relationship of the Parties.

Nothing contained in this Agreement or your use of these Sites shall be construed to constitute either party as a partner, joint venturer, employee or agent of the other party, nor shall either party hold itself out as such. Neither party has any right or authority to incur, assume or create, in writing or otherwise, any warranty, liability or other obligation of any kind, express or implied, in the name of or on behalf of the other party, it being intended by both parties that each shall remain independent contractors responsible for its own actions.

Entire Agreement.

These Terms and Conditions of Use constitute the entire agreement between you and ISNation, LLC regarding your access to and use of the Sites and Service and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and ISNation, LLC with respect to the Sites and Service. Notwithstanding the foregoing, you may also be subject to additional terms and conditions, posted policies, guidelines, or rules that may apply when you use certain features, products, services, or portions of the Sites or Service, including the Website Privacy Notice. Any such additional terms, policies, guidelines, or rules are incorporated into these Terms by reference. ISNation may revise or update these Terms and Conditions of Use as described in the “Agreement; Changes to These Terms” section above. Your continued access to or use of the Sites or Service after the updated Terms become effective constitutes your acceptance of the updated Terms.
